ToBePlay Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") govern your use of ToBePlay, an online platform for learning and practising music (the website tobeplay.net, the web app installed from the browser, and any app that loads it), operated by Công ty TNHH QPS House (QPS House Co., Ltd., "ToBePlay", "we", "us").

By using ToBePlay, or by creating an account, you agree to these Terms and to our Privacy Policy (/privacy). If you do not agree, do not use ToBePlay.

2. The service

ToBePlay provides music learning and practice tools, including chord, key and scale explorers, a chart editor, and backing tracks. ToBePlay is an educational tool. It does not replace a music teacher, and we do not guarantee any particular learning result.

You can use ToBePlay as a guest without an account. An account is optional and adds features that need one, such as showing the access you hold.

3. Eligibility and acceptable use

You must be old enough under the law of your country to enter into these Terms. If you are younger, you may use ToBePlay only with the consent of a parent or guardian.

You agree not to:

  • break the law or infringe the rights of others when using ToBePlay;
  • try to gain unauthorised access to ToBePlay, its servers, other users' accounts or data;
  • interfere with or overload the service, or use automated means to copy it at scale;
  • reverse engineer, resell or redistribute ToBePlay, its music data or its audio, except as the law allows;
  • create several accounts to obtain benefits intended for one person.

4. Your account

If you create an account, you give us accurate information and keep your sign-in details secure. You are responsible for activity under your account. One account belongs to one person. Tell us promptly if you believe your account has been misused.

You can view your account data and delete your account inside the app. How we handle your data is described in the Privacy Policy.

5. Intellectual property

ToBePlay, including its software, design, music data, styles, arrangements, audio and text, belongs to QPS House Co., Ltd. or its licensors and is protected by law. We grant you a personal, non-exclusive, non-transferable, revocable licence to use ToBePlay for your own learning and practice, under these Terms.

Some components (for example audio sample libraries) are third-party materials that remain subject to their own licences. Nothing in these Terms transfers ownership of ToBePlay to you.

6. Your content

Songs, charts, playlists and settings you create in ToBePlay are your content. At present they are stored on your device and are not sent to our servers. You keep ownership of your content.

You are responsible for your content and for having the right to use it, including any music, lyrics or chords based on works owned by others. If we offer features in the future that store or share your content, we will tell you what is involved and ask for any permission needed before it applies.

7. Free and paid plans

ToBePlay has a free plan that lets you use the core of the service. Some features may be offered only on paid plans ("Pro"). Which features belong to which plan is shown in the app and may change over time.

We may offer promotional or early-access programmes that give access to paid features for a limited time. Such access ends on the date shown in your account, after which you return to the free plan. Changes to a programme apply to future participants; access already granted is honoured for its stated period. Your own content and data are never locked or deleted because your access ended.

ToBePlay does not currently process payments. If we introduce paid plans, the price, billing period, renewal, cancellation and refund terms will be shown clearly before you buy and will form part of these Terms.

8. Disclaimers

ToBePlay is provided "as is" and "as available". To the extent the law allows, we do not promise that the service will be uninterrupted, error-free or suitable for a particular purpose, or that music data is complete or free of mistakes. Nothing in these Terms excludes rights that you have under mandatory consumer law.

9. Limitation of liability

To the extent the law allows, ToBePlay and QPS House Co., Ltd. are not liable for indirect, incidental or consequential loss, or for loss of data stored only on your device (for example if you clear browser data). Our total liability for any claim relating to the service is limited to the amount you paid to ToBePlay in the twelve months before the event giving rise to the claim. This does not limit liability that cannot be limited by law.

10. Suspension and termination

You may stop using ToBePlay at any time and may delete your account in the app. We may suspend or terminate your account or access if you breach these Terms, if the law requires it, or to protect the service or other users. Where reasonable, we will tell you why. When an account is deleted, the data we hold about it is handled as described in the Privacy Policy. Content stored on your own device stays on your device.

11. Changes to these Terms

We may update these Terms, for example when we add features or paid plans. We will update this page and the date at the top. For important changes we will give notice before they take effect. If you keep using ToBePlay after the change takes effect, you accept the updated Terms; if you do not agree, you can stop using ToBePlay and delete your account.

12. Governing law

These Terms are governed by the laws of Vietnam, without affecting any mandatory consumer rights you have under the law where you live. Disputes are subject to the competent courts of Ho Chi Minh City, Vietnam, unless mandatory law gives you the right to bring a claim elsewhere.
